Terms and Conditions

1. Acceptance of these terms
These Terms and Conditions ("Terms") govern access to and use of Arogyix, a cloud-based software-as-a-service platform for hospitals, clinics, pharmacies and pathology labs (the "Service"), operated by Altheabit ("Arogyix", "we", "us").
By registering an organisation, creating an account, or using the Service, you agree to these Terms. If you accept them on behalf of a hospital, clinic, pharmacy, lab or other organisation (a "Customer"), you confirm that you are authorised to bind that organisation.
2. The Service
Depending on the plan chosen, the Service includes some or all of the following:
- Hospital and clinic management — appointments, doctors, departments, staff and patient records.
- Digital prescriptions, generated as PDFs and shared by email or WhatsApp.
- Patient billing and invoices.
- Pharmacy management — inventory, point-of-sale, GST billing and purchases.
- Pathology lab management — test orders, samples, results and digital reports.
- Medicine and appointment reminders by SMS, WhatsApp, email and push notification.
- Patient timelines, a patient portal with family health records, analytics and in-app chat.
We may add, change or retire features over time. If we remove a feature that is material to a paid plan, we will give reasonable advance notice.
3. Accounts, organisations and roles
Each Customer gets its own isolated workspace ("tenant"). New hospital and clinic registrations are reviewed before activation, and we may decline or suspend a registration that appears incomplete, fraudulent or in breach of these Terms.
Within a workspace, the Customer's administrator creates accounts for doctors, receptionists and other staff and assigns their roles. Patients may be given portal access by the Customer. The Customer is responsible for:
- Granting access only to people who need it, and revoking it promptly when they leave.
- Keeping login credentials confidential and not sharing accounts between individuals.
- All activity carried out under accounts in its workspace.
- Telling us promptly at the contact below if it suspects unauthorised access.
4. Plans, trials and billing
We offer a Free plan and paid plans (currently Basic, Plus and Complete), billed monthly or yearly. Current features, limits and prices are shown on our pricing page. Prices are in Indian Rupees and exclude GST, which is added at checkout as applicable.
- Free plan. Available for as long as you like, subject to the usage limits shown on the pricing page (for example, number of doctors, patients and bills per month).
- Free trial. Where a trial of a paid plan is offered, it is free for the stated trial period. No payment card is needed to start it.
- Subscriptions. Paid plans are recurring subscriptions processed by our payment partner, Razorpay. By subscribing you authorise recurring charges at the start of each billing cycle until you cancel.
- Upgrades. When you change plans, the new plan replaces the previous subscription.
- Price changes. We will give at least 30 days' notice of a price change for an existing subscription. The new price applies from your next billing cycle after that notice.
- Failed payments. If a recurring payment fails and is not resolved, the subscription may be paused and the workspace moved to the Free plan's limits.
5. Cancellation and refunds
A Customer administrator can cancel a paid subscription at any time from within the Service. Cancellation takes effect at the end of the current billing cycle. Paid features remain available until then, after which the workspace moves to the Free plan.
Fees already paid are non-refundable, including for partially used billing cycles, except where the law requires otherwise or where we have charged you in error.
6. Your data
Patient records, prescriptions, reports, invoices, inventory and other content you or your users put into the Service ("Customer Data") belong to the Customer. We claim no ownership of it.
We use Customer Data only to provide, secure, support and improve the Service, and to send the messages (such as reminders and prescription PDFs) that your workspace is configured to send. We do not sell Customer Data.
If your workspace moves to the Free plan or exceeds a plan limit, your existing data remains viewable. Limits restrict adding new records, not access to existing ones.
On request, and subject to applicable law and record-retention duties, we will help a departing Customer obtain a copy of its data and will then delete it from active systems within a reasonable period.
7. Health information and compliance
Customers using Arogyix to record patient information act as the party responsible for that data. Each Customer is responsible for:
- Having a lawful basis and any consents needed to collect patient information and to contact patients by SMS, WhatsApp, email or push notification.
- Complying with the laws and professional rules that apply to it, including the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000 and its rules, and applicable medical, pharmacy and laboratory regulations.
- The accuracy of the data it enters and the documents it issues through the Service.
We act on the Customer's instructions when processing patient information, protect it with reasonable security measures (including tenant isolation and role-based access control), and will notify affected Customers without undue delay if we become aware of a breach affecting their data.
8. Not a medical device or medical advice
Arogyix is administrative and record-keeping software. It does not diagnose, treat or provide medical advice, and it does not replace the professional judgement of a qualified practitioner.
Doctors, pharmacists and lab professionals remain solely responsible for clinical decisions, prescriptions, dispensing and reports issued using the Service. Reminders are a convenience and may be delayed or fail to arrive; they should not be relied on as the only safeguard for treatment adherence.
9. Acceptable use
You agree not to, and not to let anyone else:
- Use the Service for any unlawful purpose, or to store or send content you have no right to.
- Send unsolicited or bulk messages to people who have not agreed to receive them.
- Try to access another Customer's workspace or data, or get around plan limits, security or access controls.
- Probe, scan or load-test the Service, or interfere with its operation, without our written permission.
- Reverse engineer, copy, resell or sublicense the Service, except as the law expressly permits.
- Upload malware or anything designed to harm the Service or its users.
10. Pharmacies, labs and referral partners
Independent pharmacies and pathology labs that register on Arogyix, and that receive prescriptions or test orders from hospitals through the Service, are Customers under these Terms. Each is solely responsible for fulfilling the orders it accepts. Arogyix is not a party to the arrangement between a hospital, a pharmacy, a lab and a patient.
Referral partners are bound by these Terms and by any referral terms we agree with them separately. Referral earnings are payable only for genuine sign-ups that meet the programme criteria in force at the time.
11. Third-party services
The Service relies on third-party providers, including cloud hosting, payment processing (Razorpay), messaging (SMS, WhatsApp and email) and optional sign-in with Google. Your use of those features may also be subject to the providers' own terms. We are not responsible for outages or failures of third-party services outside our reasonable control.
12. Availability and support
We aim to keep the Service available around the clock but do not guarantee uninterrupted or error-free operation. We may carry out scheduled maintenance, and will try to do so at times of low usage. We back up data regularly. Customers should keep their own copies of any records they are legally required to retain.
13. Intellectual property
Arogyix and Altheabit own the Service, including its software, design, branding and documentation. While a subscription is active, we grant the Customer and its authorised users a non-exclusive, non-transferable right to use the Service under these Terms. If you send us feedback or suggestions, we may use them without any obligation to you.
14. Suspension and termination
We may suspend or terminate access, with notice where practicable, if a Customer materially breaches these Terms, fails to pay amounts due, or uses the Service in a way that risks harm to us, other Customers or patients. The Customer may stop using the Service and close its workspace at any time.
The sections on your data, health information, intellectual property, limitation of liability, indemnity and governing law continue to apply after termination.
15. Disclaimers and limitation of liability
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind to the fullest extent the law permits.
To the fullest extent the law permits, Arogyix will not be liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue or goodwill. Our total liability arising out of or relating to the Service in any 12-month period is limited to the fees the Customer paid us for the Service in that period. Nothing in these Terms limits liability that cannot be limited by law.
16. Indemnity
The Customer will indemnify Arogyix against third-party claims arising from the Customer's Customer Data, its breach of these Terms or applicable law, or clinical, dispensing or diagnostic decisions made by its staff.
17. Changes to these terms
We may update these Terms from time to time. The "Last updated" date above shows when they last changed. For material changes we will notify Customer administrators by email or in the Service at least 15 days before they take effect. Continuing to use the Service after that date means you accept the updated Terms.
18. Governing law and disputes
These Terms are governed by the laws of India. The parties will first try to resolve any dispute in good faith. Disputes not resolved that way are subject to the exclusive jurisdiction of the competent courts in India.
